Our experience in major corporate and securities litigation includes recent shareholder derivative suits, proxy fights, merger litigation, and claims against officers and directors. Our lawyers have successfully represented corporations, corporate management, directors, law firms, and auditors in securities actions brought by shareholders, debt holders, employee stock ownership plans, and others. We have defended derivative litigation arising out of allegations of corporate malfeasance and conflicts of interest, as well as securities matters.

In recent years, with consistent success, our lawyers have represented corporations and directors in merger litigation, both where classes of shareholders have objected to the merger and where other potential merger partners have objected. We have fended off hostile takeovers and we have represented acquiring companies as well. And where the minority shareholders have been deprived of meaningful management participation in their companies, Brooks Pierce has successfully brought claims on behalf of those owners to reacquire their place in directing their companies.
