Overview

Libby Brewington's practice is concentrated in business law and corporate transactions. Libby represents clients in commercial loan transactions, purchases and sales of businesses, entity formation and business reorganizations, and other corporate legal issues that arise in business operations.

My Practices

  • Libby represents mezzanine lenders, venture capital funds and other investors in complex financing transactions and in making investments at every level of a company's capital structure. Libby has extensive experience in senior secured loans, second lien and subordinated debt investments, and common and preferred equity investments, including the negotiation of intercreditor agreements. She regularly represents borrowers in commercial financing transactions as well.

  • Libby represents companies in general and commercial matters, providing and coordinating legal services for clients, including: all types of contracts and leases, ownership and equity issues, succession issues, lending relationships, executive compensation, labor and employment, employee benefits, commercial real estate, commercial disputes, and other issues, typical and unusual, faced by business organizations.

  • Libby regularly handles acquisitions and divestitures of privately held businesses as well as private equity investments.

  • Libby counsels businesses and nonprofit organizations on a myriad of issues related to entity formation.
