Melissa Bailey and Sabrina Greer Presented at the NC Bar Association’s Business Law Section CLE

10.29.2026

Brooks Pierce attorneys Melissa Bailey and Sabrina Greer participated in the Business Law Section of the North Carolina Bar Association’s Basics of Business Law CLE.

Melissa co-presented with James Morrison III of Bernard Robinson & Company on “Legal Entity Choice,” where they covered the basics of legal entity formation, including the reasons and purposes behind forming an entity. They walked through the different legal and tax structures available when forming an entity and discussed how those decisions impact various events in the life of an entity.

Sabrina moderated a panel titled “Organizing and Operating North Carolina Entities With Disputes in Mind” alongside panelists Chief Judge Michael L. Robinson, North Carolina Business Court, and Carson L. Pace, with Bell Davis & Pitt PA. The panel examined the organizational choices that most often lead to flashpoints in North Carolina entity disputes. The discussion offered a litigation-focused view of fiduciary duties, ownership structure, transfer and exit rights, confidentiality, noncompete, records demands, derivative demands, and dispute-resolution provisions. The panel focused on how drafting choices affect leverage, timing, and outcomes when owners become adverse.
