Overview

Hunter Huffman’s practice focuses on capital markets, mergers and acquisitions, bank regulatory matters, and corporate governance. He assists companies of varying size and sophistication with day-to-day governance matters, including U.S. Securities and Exchange Commission requirements and routine corporate drafting, including the drafting and analysis of commercial agreements and ancillary documents, while helping clients balance legal risks with their business objectives and timelines.

Prior to joining Brooks Pierce, Hunter practiced with large law firms in Raleigh and New York. In Raleigh, as a member of the Corporate and Transactional practice group, he drafted and reviewed transaction documents, including purchase, confidentiality, escrow, and option agreements, as well as compliance and governance certificates. He also managed and facilitated due diligence, including virtual data room reviews, diligence memoranda, disclosure schedules, and diligence calls. In New York, as a member of an international law firm’s Strategic Transactions Group, Hunter advised clients on complex public securities offerings across industries ranging from technology to healthcare, supported mergers and acquisitions, and provided corporate governance advice to public and private companies.

  • Hunter’s securities practice focuses on public company governance, SEC compliance and reporting, and securities offerings, including IPOs and follow-on offerings. His experience includes Forms 10-K, 10-Q, and 8-K; exchange listing requirements; equity compensation; annual meeting materials; registration statements; underwriting agreements; and securities-related diligence and transaction documents.

  • Hunter has represented a private equity fund in its acquisition of a leading contract research organization and contract development and manufacturing organization specializing in cell and gene therapy.
