Mergers & Acquisitions

Facilitating Growth

The financial and legal details of buying, selling, or merging a business can prove daunting, even for the most seasoned business owner or executive.

Brooks Pierce attorneys are known for providing sage and practical counsel in all components of mergers, acquisitions, sale transactions, and equity investment transactions. Every client’s needs are significant and unique, whether it is a small family-owned business or a multi-billion-dollar enterprise. Our attorneys approach each client’s transaction with fresh eyes, focusing on accomplishing the  best outcome possible. We have expertise in the areas of law that may come into play in a transaction and are structured in a way that facilitates putting together the right team for each particular transaction. The result is effective and efficient representation, neither understaffing nor overstaffing what is needed for the transaction.

We have successfully handled thousands of transactions, including those in highly regulated industries such as utilities, transportation, communications and banking. Our attorneys know how to navigate complex governmental agency requirements while helping clients receive the most benefit from their transactions.

 Our recent experience includes:

  • An $84 million asset disposition of a portfolio of three hotels located in North Carolina and Texas
  • A $70 million acquisition of a television station by a family-owned media company
  • Negotiating the acquisition of more than 23 TV stations for a major broadcasting company
  • Serving as both transactional and FCC regulatory counsel in the sale of two television stations, affiliated with a major television network. The stations were purchased by $83 million, and the closing of the sale was contingent upon approval of the Federal Communications Commission
  • Assisting a not-for-profit health care service provider in purchasing a regional hospital.
