During drafting and negotiation, we focus on ensuring that each contract reflects our clients’ priorities and aligns with relevant regulatory requirements, addressing key terms such as model training, data/IP ownership, and transparency.
- Implementation Strategy and Risk Counseling: We support clients in addressing the legal risks associated with AI implementation through clear internal policies and compliance strategies. Our implementation-related work often includes drafting employee-facing AI Acceptable Use Policies and updating customer contracts to permit the client’s intended use of AI. We also support clients in managing their compliance with emerging data privacy and AI-specific legal requirements.
- Data & IP Protection: The emergence and rapid adoption of powerful generative AI tools have been accompanied by a wave of unique and novel IP challenges. We help clients preserve control over their information, mitigate security threats, and respond to unauthorized uses of their content. Our team has experience advising on web scraping prevention, deepfake removal requests, and a range of other related issues.

- Advised a large dental practice on adoption of an AI platform to analyze x-rays with high precision, including guidance on compliance with federal privacy regulations.

- Advised a client in the transportation industry with negotiations involving an AI startup focused on managing the competing demands of providing data at the scale necessary to enable the tool’s functionality while protecting the client’s high-value proprietary business information.
- Led a presentation for leaders of a major payment processor on numerous AI implementation issues, including data protection, intellectual property protection, and governance for employee use.
- Advised a consulting firm that regularly processes large amounts of sensitive data regarding risks associated with allowing employees to use a leading enterprise AI tool and drafting internal and customer-facing deliverables designed to mitigate such risks.
